3. Service Description

3.1 What We Provide

SiteContext.ai provides:

• Tools to create, manage, and host structured business data files (sitecontext.json)
• AI-powered extraction and generation of business information
• Validation and compliance checking for Site Context Protocol
• Hosting and distribution of your sitecontext.json files
• Analytics and insights on AI platform interactions
• API access for programmatic integration

3.2 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency repairs or security updates
• Circumstances beyond our reasonable control

3.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. For paid subscribers, we will provide reasonable notice before discontinuing core features.

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Service to:

• Create and manage sitecontext.json files for websites you own or control
• Generate structured data for legitimate business purposes
• Integrate with AI platforms and search engines
• Access our API in accordance with rate limits and documentation

4.2 Prohibited Activities

You agree NOT to:

• Impersonate Others: Create profiles for businesses you do not own or represent
• Violate Laws: Use the Service for any illegal purpose or in violation of any laws
• Abuse the Platform: Attempt to overload, disrupt, or exploit our systems
• Circumvent Security: Bypass authentication, access controls, or security measures
• Scrape or Harvest: Collect data from other users without authorization

4.3 Enforcement

5. Your Content and Data

You retain all rights to the Content you submit to the Service. Your business information, data, and generated sitecontext.json files remain your property.

5.2 License to Us

By submitting Content, you grant us a limited license to:

• Generate and serve sitecontext.json files on your behalf
• Process your data to provide and improve the Service
• Create backups and maintain data integrity

This license is non-exclusive, worldwide, royalty-free, and limited to operating and improving the Service. It terminates when you delete your Content or account.

5.3 Your Responsibilities

You are responsible for:

• The accuracy and legality of your Content
• Ensuring you have rights to submit the Content
• Maintaining backups of your important data
• Complying with all applicable laws regarding your Content

5.4 Data Portability

You may export your data at any time through the dashboard or by contacting support. We provide data in standard formats (JSON, CSV) to facilitate portability.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its design, features, code, and content (excluding your Content), is protected by intellectual property laws. We own or license all rights to:

• The SiteContext.ai name, logo, and trademarks
• Our website design, graphics, and user interface
• Proprietary algorithms and software code
• Documentation, guides, and marketing materials

6.2 Site Context Protocol

The Site Context Protocol specification is open source and available under the MIT License. You may freely:

• Implement the protocol in your own projects
• Create sitecontext.json files independently
• Build tools that work with the protocol
• Contribute to the protocol's development

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation to you. By submitting feedback, you grant us a perpetual, irrevocable license to incorporate it into the Service.

7. Payment Terms

7.1 Subscription Plans

Paid features are available through subscription plans. By subscribing, you agree to:

• Pay all fees according to your selected plan
• Provide accurate billing information
• Authorize recurring charges for subscription renewals

7.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are stated in USD unless otherwise specified
• Prices are exclusive of applicable taxes

7.3 Cancellation and Refunds

• Cancellation takes effect at the end of the current billing period

We may change pricing with 30 days' notice. Price increases for existing subscribers take effect at the next renewal period. You may cancel before the new pricing takes effect.

8.2 Trials

9. Disclaimers and Warranties

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors will be corrected
• AI platforms will use your sitecontext.json data in any particular way

You understand that AI platforms and search engines operate independently and may choose how to use or display information from sitecontext.json files. We cannot guarantee how third parties will interpret or present your business information.

10. Limitation of Liability

This includes, without limitation:

• Loss of profits, revenue, or business opportunities
• Loss of data or data corruption
• Business interruption or downtime
• Damage to reputation or goodwill
• Cost of substitute services

Our total liability for any claims arising from your use of the Service shall not exceed the greater of:

• The amount you paid us in the 12 months prior to the claim, or
• $100 USD

11. Indemnification

You agree to indemnify, defend, and hold harmless SiteContext.ai and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your Content or business information
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of applicable laws or regulations

12. Termination

12.1 By You

You may terminate your account at any time through the dashboard settings or by contacting support. Upon termination:

• Your access to the Service will be revoked
• Your sitecontext.json files will no longer be hosted (allow 24 hours for propagation)
• You may export your data before termination

12.2 By Us

We may suspend or terminate your account if:

• You violate these Terms or the Acceptable Use Policy
• You fail to pay fees when due
• Your account poses a security risk
• Required by law or legal process
• We discontinue the Service (with reasonable notice)

12.3 Effect of Termination

Upon termination, sections regarding intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive and remain in effect.

13. Changes to Terms

We may modify these Terms from time to time. When we make changes:

• We will update the "Last updated" date
• For material changes, we will provide notice via email or prominent notice on the Service
• Continued use after changes take effect constitutes acceptance
• If you disagree with changes, you should discontinue use and may request account deletion

We encourage you to review these Terms periodically. Material changes will not apply retroactively and will take effect no sooner than 14 days after posting.

14. Governing Law

14.1 Jurisdiction

These Terms are governed by the laws of the jurisdiction in which SiteContext.ai operates, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.

14.2 Dispute Resolution

14.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. The unenforceable provision will be modified to reflect the parties' intent.

14.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SiteContext.ai regarding the Service. They supersede any prior agreements or communications.
